Website Hosting & Maintenance – Terms and Conditions

1. Overview

These Terms and Conditions (“Terms”) govern the provision of website hosting, maintenance, and related services by Click Here Web Design (ABN 77 636 056 456) (“we”, “us”, “our”) to clients (“you”, “the client”). By purchasing or continuing to use our services, you agree to these Terms.

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Both parties submit to the exclusive jurisdiction of the courts of New South Wales.

2. Hosting & Maintenance Plans

2.1 Plan types

We offer hosting and maintenance plans on a monthly or annual basis. The scope of services included is the same regardless of billing frequency; annual plans are offered at a discounted rate compared to the equivalent monthly cost.

2.2 What is included

All hosting and maintenance plans include the following services, active for the full duration of the plan period:

  • Website hosting on our own servers
  • Offsite cloud backups
  • SSL certificate installation and renewal
  • WordPress core, theme, and plugin updates (1–2 times per week)
  • Firewall, malware scanning, and security monitoring
  • Login protection and brute force blocking
  • Uptime monitoring and management
  • Caching and database optimisation
  • Spam comment management
  • Broken link checking
  • Site recovery and restore from backup
  • Minor content updates (see section 2.3)

2.3 Minor content updates

Each plan includes up to 30 minutes of minor content updates per month. This may include small text changes, price or product updates, or simple image swaps where the image is supplied in a suitable format and size.

Minor content update time is not cumulative — unused time does not carry over to subsequent months.

Requests that exceed 30 minutes, require significant image editing or layout work, or involve technical complexity will be quoted and charged separately at our standard hourly rate.

2.4 What is NOT included

The following are not covered under any hosting and maintenance plan:

  • Removal of malware, malicious code, or recovery from a hack — these require a separate remediation quote
  • Fixing issues caused by the client, the client’s staff, or third-party agents acting on the client’s behalf (including other developers or contractors)
  • New page builds, redesigns, or structural changes to the website
  • Content creation, copywriting, or SEO work
  • Work on websites not hosted on our servers (see section 5)
  • Any work outside the scope of minor content updates as defined in section 2.3

2.5 Additional services

We offer a range of additional services including content creation, SEO, and training packages. These are individually scoped and quoted. Please contact us to discuss your requirements.

3. Billing & Payment

3.1 Annual plans

Annual plans are billed in advance for a full 12-month period. A discount applies to annual plans compared to the equivalent monthly rate. The discounted rate will be shown on your invoice.

3.2 Monthly plans

Monthly plans are billed in advance each month at the standard rate. No discount applies to monthly billing.

3.3 Additional work

Any work outside the scope of your plan will be quoted in advance where possible and invoiced upon completion or at agreed milestones. Our standard hourly rate applies unless otherwise agreed in writing.

3.4 Late payment

Services may be suspended if invoices remain unpaid 14 days after the due date. Restoration of services following suspension may incur an additional fee.

4. Cancellation & Refunds

4.1 Cancellation notice

A minimum of 30 days written notice is required to cancel any hosting or maintenance plan. Notice must be sent to fiona@clickherewebdesign.com.au. Cancellation takes effect at the end of the 30-day notice period.

4.2 Monthly plans

Monthly plans require a minimum of 30 days written notice to cancel (see section 4.1). The plan will remain active and billable during the notice period. No refund is issued for any partial month, including the month in which notice is given or the final month of service.

4.3 Annual plans — no refunds

Annual plans are non-refundable. As hosting, security, monitoring, and backup services are active and consumed from the first day of the plan period, no refund is issued for early cancellation, including where the client migrates their website to another provider.

4.4 Goodwill credits — annual plans

At our sole discretion, we may offer a pro-rata credit for remaining full calendar months of an annual plan following early cancellation. Any such credit applies to future services with Click Here Web Design only. Cash refunds are not provided. This is a goodwill gesture and does not constitute an entitlement.

Any goodwill credit will be calculated at the standard monthly rate, not the discounted annual rate. The annual discount is earned by commitment to the full plan period and is forfeited upon early cancellation.

4.5 Third-party services

Where we purchase third-party services on your behalf — including but not limited to email hosting, domain registration, premium plugin licences, or external platform subscriptions — these costs are non-refundable. This applies whether third-party services are itemised separately or bundled into your plan.

4.6 Offboarding

Upon cancellation, we will provide a copy of your most recent website backup at no charge. Any additional offboarding assistance — including migration support, data exports, third-party coordination, or technical handover — will be charged at our standard hourly rate. Offboarding work will be scoped and agreed in advance where possible.

5. Websites Not Hosted on Our Servers

Where we perform maintenance, updates, or other work on websites hosted by a third party (not on our own servers), we accept no responsibility for service interruptions, downtime, data loss, security incidents, or performance issues caused by or attributable to the third-party hosting environment.

Work performed on externally hosted websites is provided on a best-efforts basis. Additional time required due to third-party hosting limitations, access restrictions, or platform incompatibilities will be charged at our standard hourly rate.

6. Client Responsibilities

6.1 Access and cooperation

You agree to provide us with timely access, credentials, and information required to perform the services. Delays caused by failure to provide required access or information may result in delays to service delivery and additional charges.

6.2 Website changes by client or third parties

You accept responsibility for any changes made to your website by yourself, your staff, or any third-party agents acting on your behalf. We are not liable for issues arising from such changes, and rectification work will be charged at our standard hourly rate.

6.3 Copyright and intellectual property

You warrant that you own or hold appropriate licences for all content — including text, images, video, audio, and other media — that you supply to us or that is published on your website. You indemnify Click Here Web Design against any claim, cost, or liability arising from intellectual property infringement in content supplied by you.

Where we supply content (such as stock images, design assets, or copy) as part of agreed services, that content is licenced for use on your website only and remains subject to the terms of the original licence.

6.4 Acceptable use

You agree not to use our hosting services to publish content that is unlawful, defamatory, offensive, or in breach of any third-party rights. We reserve the right to suspend or terminate services immediately if this clause is breached.

7. Limitation of Liability

To the maximum extent permitted by law, Click Here Web Design’s liability for any claim arising from these Terms or the services provided is limited to the total fees paid by you in the three months preceding the claim.

We are not liable for any indirect, consequential, or special loss or damage, including loss of revenue, data, or business opportunity.

8. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any rights or guarantees you may have under the Australian Consumer Law (ACL) that cannot lawfully be excluded. To the extent permitted by law, our liability for any breach of a consumer guarantee is limited to re-supply of the services or payment of the reasonable cost of re-supply.

9. Changes to These Terms

We reserve the right to update these Terms at any time. The current version will be published at clickherewebdesign.com.au. Continued use of our services after any update constitutes acceptance of the revised Terms. We will endeavour to notify active clients of material changes by email.
